1. Information About Us

1.1 District20thehideout.com is a site operated by The Hideout at District 20 (referred to as "The Hideout" or "We" or "Us"). We are registered in Singapore under the Business Registration Number 201532334 and with our registered office at 35 Jalan Peminpin #08-00 Wedgemount Industrial Building S(577176)


2. Service Availability

2.1 Our site is only intended for use by people residing, businesses, and companies in Singapore ("the Serviced Country"). We do not accept orders from individuals outside of the Serviced Country.


3. Your Status

3.1 By placing an order through our site or on the telephone, you warrant that:

3.1.1 You are legally capable of entering into binding contracts;

3.1.2 You are resident in the Serviced Country.


4. Our Status

4.1 We may provide links on our site to the websites of other companies, whether affiliated with us or not. We cannot give any undertaking that the products you purchase from companies to whose website we have provided a link will be of satisfactory quality.


5. How the Contract is formed between You and Us

5.1 After placing an online order, you will receive an e-mail from us acknowledging that we have received your order. Please note that this does not mean that your order has been accepted. Your order constitutes an offer to us to buy a Product. All telephone and on-line orders are subject to acceptance by us, and we will confirm such acceptance to you either during our telephone conversation or email. The contract between us (“the Contract”) will only be formed when we deliver the items to you.

5.2 Subjected to actual stock availability, item orders may be replaced with alternatives subjected to a verbal or written confirmation with you. For items that cannot be replaced, we will contact you to give you the option to cancel. If payment has been made, you will be refunded of the amount paid. 

5.3 All orders placed online will be fulfilled within 01 business days unless otherwise advised. Business days exclude Saturday, Sunday and Public Holidays.

5.4 Cancellation of orders place online can only be done 01 day in advance unless otherwise advised. Same day orders cannot be cancelled.


6. Intellectual Property 

6.1 All trademarks, logos, images, and service marks, including these Terms as displayed on the Website or in our marketing material, whether registered or unregistered, are the intellectual property of foodpanda and/or third parties who have authorised us with the use (collectively the “Trademarks”). You may not use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Trademarks in any way without our prior express written consent. The use of the Trademarks on any other website not approved by us is strictly prohibited. The Hideout will aggressively enforce its intellectual property rights to the fullest extent of the law, including criminal prosecution. The Hideout neither warrants nor represents that your use of materials displayed on the website will not infringe rights of third parties not owned by or affiliated with The Hideout. Use of any materials on the website is at your own risk.


7. Price and Payment

7.1 The price of any Products will be as quoted on our site from time to time, except in cases of obvious error.

7.2 Our site contains a large number of Products and it is always possible that, despite our best efforts, some of the Products listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a Product's correct price is less than our stated price, we will charge the lower amount when dispatching the Product to you. If a Product’s correct price is higher than the price stated on our site we might at our discretion decide to honour the lower (incorrect) price or either contact you for instructions before dispatching the Product, or reject your order and notify you of such rejection.

7.3 We are under no obligation to provide the Product to you at the incorrect (lower) price even after we have provided you with an email confirmation.

7.4 You are obliged to make payment in FULL, including delivery fees, by the payment option you select when you check out your order.

7.5 Payment will be made via 3rd party vendor platform, Omise, and will be subject to additional T&Cs of the vendor


8. Orders 

8.1 Special Instructions – The Hideout will reasonably endeavour to comply with your special instructions for an Order. However, in some cases where this is not feasible, possible or commercially reasonable, wer reserve the right to proceed to prepare the Order in accordance with standard operating procedures. We shall not be responsible to replace or refund an Order which does not conform to special instructions provided by you. 

8.2 Allergens – The Hideout is not obligated to provide ingredient information or allergen information on the Website. Further, we do not guarantee that the Products sold are free of allergens, unless otherwise required by applicable laws. If you have allergies, allergic reactions or dietary restrictions and requirements, please contact us before placing an Order on our Website.


9. Delivery and Pick-Up 

9.1 Delivery Time

The Hideout shall deliver your Order to the delivery address provided by You, via a 3rd party deliver vendor. You may choose for your Order to be delivered “ASAP” or scheduled for a specific time. Delivery times shall vary depending on factors that are not controlled by us (e.g. order quantity, distance, time of day (peak periods), weather conditions, traffic conditions, etc.). You acknowledge that delivery time is only an estimate and Orders may arrive earlier or later. To ensure that you do not miss a delivery of an Order, you should ensure that either you or someone is at the delivery location to receive the Order once an Order is placed.

9.2 Unsuccessful or Failed Deliveries 

9.2.1 Without prejudice to any other clauses in these Terms, in cases where we attempt to deliver an Order but we are unable to do so due to the reasons caused by you, including but not limited to:

(i) no one was present or available to receive the Order; 

(ii) customer was uncontactable despite attempts to reach the customer via the phone number provided; 

(iii) lack of appropriate or sufficient access to deliver the Order successfully; or

(iv) lack of a suitable or secure location to leave the Order;

we will contact you via, among others, call or message, or email, to inform the unsuccessful delivery and next steps. In such cases, The Hideout reserves the right to cancel the Order without refund or remedy to you.

9.2.2 No-show Cancellations 

If you remain uncontactable or fail to receive the Order within ten (10) minutes from the time the Order arrives at your delivery address, The Hideout reserves the right to cancel the Order without refund or remedy to you. 

9.2.3 Wrong Order, Missing Items, Defective Goods 

Upon receipt of your Order, if you discover that there are issues with your Order (e.g. wrong order, defective order, or missing items) please immediately contact us via one of the methods set out in Clause below. In some cases, we may request for photographic proof and/or additional information to properly investigate the issue with your Order. If we determine that the Order and/or Goods you received are not of satisfactory condition or quality, we will compensate you for your Order or parts of your Order.

9.5 Pick-Up 

9.5.1 Where available, you will have the option of collecting your Order in-person directly from The Hideout's premises instead of having the Order delivered to You. Your email confirmation will indicate the time for you to Pick-Up the Order (“Collection Time”). The Hideout will prepare the Order by the Collection Time. In some cases, a reasonable delay may be expected. The Hideout agrees to hold the Order for you at our premises for no more than a reasonable period of twenty (20) minutes from the Collection Time (“Holding Time”) and shall not be obliged to provide the Order to you if you fail to Pick-Up your Order within the Holding Time. 

9.5.2 In the event of unreasonable delays in Pick-Up attributable to you, you bear the risk of any damage or loss of Product or any deterioration in quality or change in condition of the Products (e.g. changes in the temperature fit for consumption). In this case, you shall not be entitled to a replacement, refund or replacement of the Goods. You alone are responsible for inspecting the Goods/Order when you Pick-Up your Order and shall report any issues and/or defects to us before leaving The Hideout's premises.


10. Vouchers, Discounts and Promotions

10.1 From time to time, The Hideout may run marketing and promotional campaigns which offer voucher codes, discounts, and other promotional offers to be used on the Website (“Vouchers”). Vouchers are subject to validity periods, redemption periods, and in certain cases, may only be used once.

10.2 Vouchers may not be valid when used in conjunction with other promotions, discounts or other vouchers. Additional terms and conditions may apply to Vouchers. 

10.3 Unless otherwise stated, Vouchers can only be used on our Website. 

10.4 Vouchers cannot be exchanged for cash.

10.5 The Hideout reserves the right to void, discontinue or reject the use of any Voucher without prior notice


11. Representations, Warranties and Limitation of Liabilities

11.1 Representations and Warranties 

You acknowledge and agree that the content on the Website are provided on an “as is” and “as available” basis, and that your use of or reliance upon the Website and any content, goods, products or services accessed or obtained thereby is at your sole risk and discretion. 

All photos and images of the Products are also for illustrative purposes only and may differ from the actual Product. 

While The Hideout makes reasonable efforts to ensure the provision of the Website and the services we offer, are available at all times, we do not warrant or represent that the Website shall be provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties, defects or viruses. Please expect temporary interruptions of the Website due to scheduled or regular system maintenance work, downtimes attributable to internet or electronic communications or events of force majeure. 

11.2 Limitation of Liability 

To the extent permitted by law, The Hideout (which shall include its employees, directors, agents, representatives, affiliates and parent company) exclude all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with our Website, our services, and any website linked to our Website and any content or material posted on it. Your exclusive remedy with respect to your use of the Website is to discontinue your use of the Website. The Hideout representatives, and service providers shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the Website or for any other claim related in any way to your use of the Website. These exclusions for indirect, special, consequential, and exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, work stoppage, computer failure, or malfunction, or any other commercial damages or losses, even if The Hideout representatives, and service providers have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based. 


12. Our Liability

12.1 We warrant to you that any Product purchased from us through our site is of satisfactory quality.

12.2 Our liability in connection with any Product purchased through our website is strictly limited to the purchase price of that Product.


13 Indemnity 

13.1 You agree to indemnify, defend, hold harmless The Hideout and its directors, officers, employees, representatives, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from your use of the Website or your breach of these Terms. 


14. Notices

14.1 All notices given by you to us must be given to The Hideout at District 20 at 38 Jalan Peminpin #01-03 M38 S(577178), or Phone at 9710 2232. We may give notice to you either via phone, an e-mail or postal address that you provided to us when placing an order.


15. Events Outside our Control

15.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control (“Force Majeure Event”).

15.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

15.2.1 strikes, lock-outs or other industrial action;

15.2.2 civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

15.2.3 fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

15.2.4 impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

15.2.5 impossibility of the use of public or private telecommunications networks; or

15.2.6 the acts, decrees, legislation, regulations or restrictions of any government.

15.3 Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.


16. Waiver

16.1 If we fail, at any time during the term of a Contract, to insist upon the strict performance of any of your obligations under the Contract or any of these Terms and Conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

16.2 A waiver by us of any default shall not constitute a waiver of any subsequent default.

16.3 No waiver by us of any of these Terms and Conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.


17. Amendments 

The Hideout may amend these Terms at any time in its sole discretion, and the amended Terms shall be effective immediately upon posting, subject to applicable laws. It is your responsibility to check the Terms regularly. If you do not agree with the amended Terms, whether in whole or in part, you must stop using the Website immediately.


18. Severability

18.1 If any of these Terms and Conditions or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.


19 Entire Agreement

19.1 These Terms and Conditions and any document expressly referred to in them represent the entire agreement between us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.

19.2 We each acknowledge that, in entering into a Contract, neither of us has relied on any representation, undertaking or promise given by the other and that nothing may be implied from anything said or written in negotiations between us prior to such Contract except as expressly stated in these Terms and Conditions.

19.3 Neither of us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of any Contract (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these Terms and Conditions.


20. Law and Jurisdiction

20.1 Contracts for the purchase of Products through our site will be governed by the Law of Singapore. Any dispute arising from, or related to, such Contracts shall be subject to the non-exclusive jurisdiction of the Courts of The Republic of Singapore.
